Legal Agreement — Please Read Before Signing
ADVIUZ AFFILIATE PARTNER AGREEMENT
This Affiliate Partner Agreement ("Agreement") is a legally binding contract entered into by and between Instad Web Services Limited, a corporation based in Saskatoon, Saskatchewan, operating under the brand name Adviuz (hereinafter "Company"), and the applicant (hereinafter "Affiliate"). By submitting your application, you acknowledge that you have read, understood, and agree to be bound by all terms herein.
1. Definitions
"Platform" refers to the Adviuz System App and associated digital infrastructure. "Qualified Lead" refers to a prospective client referred by the Affiliate who has not previously engaged with the Company and who successfully completes a purchase. "Gross Profit" refers to total revenue received minus applicable taxes, processing fees, and third-party costs.
2. Role, Process & Restrictions
The Affiliate is authorized to act as a non-exclusive referral partner. The Affiliate's sole responsibility is to refer prospective clients via the Platform. The Company shall independently handle 100% of sales, negotiation, and closing. The Affiliate is strictly prohibited from: (a) attempting to close sales; (b) negotiating pricing or terms; (c) making guarantees on behalf of the Company; (d) bidding on Company trademark terms in paid search; and (e) using deceptive marketing practices.
3. Commission Structure & Payment Terms
3.1 The Company shall pay 10% commission on the Gross Profit of the client's first order, and 5% on any subsequent recurring orders.
3.2 Commissions are earned only after the Company receives full, cleared, non-refundable payment from the referred client. Earned commissions are released within 7 calendar days of receipt.
3.3 The Affiliate is an independent contractor and is solely responsible for all applicable taxes including GST/HST.
4. Intellectual Property & Brand License
The Company grants a limited, revocable, non-exclusive license to use approved Promotional Materials solely for generating referrals. The Company retains all rights including all intellectual property rights and patents. The Affiliate shall not register any domain name or social media handle containing Company trademarks.
5. CASL & Data Privacy Compliance
The Affiliate warrants absolute compliance with Canada's Anti-Spam Legislation (CASL) and PIPEDA. No spam. Lead data collected only with explicit, documented consent of the lead.
6. Confidentiality
The Affiliate shall hold all non-public information, trade secrets, client lists, and pricing models in strictest confidence during and indefinitely after the term of this Agreement.
7. Non-Compete & Non-Circumvention
The Affiliate agrees not to create, launch, advise, or consult for any directly competing service that mimics the Adviuz business model during the term and for 24 months following termination. The Affiliate shall not bypass the Platform to deal directly with any clients introduced through Adviuz.
8. Indemnification
The Affiliate agrees to indemnify Instad Web Services Limited from any claims, damages, or expenses arising from breach of this Agreement, gross negligence, or violation of applicable law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES REGARDING THE PLATFORM. THE COMPANY'S AGGREGATE LIABILITY SHALL NOT EXCEED TOTAL COMMISSIONS PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Term & Termination
Either party may terminate with 30 days written notice. The Company may terminate immediately for material breach. Upon termination, the Affiliate must immediately cease all use of Company marks. All commissions are forfeit upon termination for breach.
11. Governing Law
This Agreement is governed by the laws of the Province of Saskatchewan. Any legal proceedings shall be brought exclusively in the courts located in Saskatoon, Saskatchewan.

ADVIUZ AUTHORIZED SELLER AGREEMENT
This Authorized Seller Agreement ("Agreement") is a legally binding enterprise contract between Instad Web Services Limited, Saskatoon, Saskatchewan ("Company"), and the applicant ("Authorized Seller"). By submitting and remitting the fee, you agree to all terms herein.
1. Eligibility Requirements
The Authorized Seller must possess: a modern working laptop or tablet, a reliable vehicle, high-speed internet, a 5G-enabled smartphone, a valid provincial driving license, and a valid GST/HST Certificate (if operating as a corporate entity).
2. Authorization Fee & Renewal
Upon approval, the Authorized Seller shall remit a non-refundable authorization fee of CAD 10,000.00 per year. This grants exclusive territory rights (if applicable), Platform access, intensive training, marketing collateral, and 5–10 qualified leads/month. Failure to remit the annual renewal fee results in immediate suspension.
3. Role & Operational Protocols
3.1 Role: The Authorized Seller is authorized to actively pitch, quote, and close deals as a front-line Adviuz representative. All negotiations must align with Company-approved pricing.
3.2 Financial Processing: Under no circumstances may the Authorized Seller collect payments directly. All contracts, invoices, and payments must be processed exclusively under Instad Web Services Limited (Adviuz).
3.3 Support: The Company provides 5–10 Qualified Leads per calendar month, alongside support in proposal generation and invoicing via the System App.
4. Tiered Commission Plan & Payment Terms
4.1 Commissions are calculated monthly on total closed business (excluding taxes) per the sliding scale table above (10%–20%).
4.2 Commissions are earned only upon receipt of full, cleared, non-refundable client payment. Disbursed within 7 calendar days of receipt. The Authorized Seller is solely responsible for all income taxes and GST/HST.
5. Intellectual Property & Brand Control
The Company retains exclusive rights and patents in the business concept, workflows, algorithms, and brand. The Authorized Seller may not copy, reverse-engineer, or misappropriate the business concept or create unauthorized guarantees.
6. CASL & Data Security Compliance
The Authorized Seller shall comply with all laws including CASL and PIPEDA. Client information provided by the Company or collected by the Seller must never be leaked, sold, or used outside this Agreement.
7. Strict Confidentiality
The Authorized Seller acknowledges exposure to highly sensitive trade secrets including pricing margins, operational manuals, and client databases. This information must be held in absolute secrecy. This obligation survives termination indefinitely.
8. Non-Compete & Non-Circumvention
During the term and for 24 months following termination: (a) no competing services or products that mimic the Adviuz business model; (b) no direct contracting with Company-introduced clients to provide similar services independently.
9. Indemnification & Audit Rights
The Authorized Seller shall indemnify Instad Web Services Limited against all claims arising from breach, unauthorized promises to clients, or violation of law. The Company reserves audit rights over communications and sales practices related to Adviuz clients.
10. Limitation of Liability
THE COMPANY DISCLAIMS ALL WARRANTIES REGARDING LEAD CONVERSION RATES OR GUARANTEED INCOME. THE COMPANY'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE AUTHORIZATION FEE PAID IN THE CURRENT ANNUAL TERM.
11. Termination
For Cause: Immediate termination and revocation of Platform access without refund for material breach (misrepresentation, payment diversion, IP theft, confidentiality breach).
For Convenience: 30 days written notice. Authorization fees are not prorated or refunded. Upon termination, the Seller must cease all use of Company branding and forfeit all unpaid commissions derived from a breach.
12. Governing Law
This Agreement is exclusively governed by the laws of the Province of Saskatchewan and the federal laws of Canada. Legal proceedings shall be brought exclusively in the courts of Saskatoon, Saskatchewan.
